Welcome to RFLD!

These Terms of Service (“Terms”) govern your access to and use of The Women Leaders Network for Development – Réseau des Femmes Leaders pour le développement (RFLD) website, mobile application, and other online services and platforms (collectively, the “Services”). Please read these Terms carefully before using the Services.

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to all of the terms and conditions contained in these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old and have the capacity to enter into a binding legal agreement to use the Services.

3. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm any person or animal.
• To send, knowingly receive, upload, download, use or reuse any material which is illegal, offensive, abusive, indecent, harmful, threatening, intimidating, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable.
• To impersonate any person or entity, or to falsely state or otherwise misrepresent your affiliation with a person or entity.
• To interfere with or disrupt the Services or servers or networks connected to the Services.
• To attempt to gain unauthorized access to the Services, user accounts, or computer systems or networks connected to the Services.
• To use any automated means, including, but not limited to, robots, crawlers, data mining tools, or the like, to access the Services.
• To attempt to or actually harm the Services in any way.

4. User Content

The Services may allow you to post, submit, store, share, or otherwise make available content (“User Content”). You are solely responsible for your User Content and the consequences of posting it.

By posting User Content, you grant to RFLD a non-exclusive, royalty-free, worldwide, perpetual, and transferable license to use, modify, reproduce, distribute, display, publish, and translate your User Content in any media or medium now known or later developed.

You agree that your User Content will not:

• Violate any law or regulation.
• Be infringing, defamatory, obscene, threatening, harassing, or abusive.
• Contain viruses or other harmful code.
• Be false or misleading.
• Violate any third party’s right to privacy.
• Be hateful, discriminatory, or offensive.

RFLD reserves the right, but does not have the obligation, to monitor, edit, or remove any User Content that it deems inappropriate or in violation of these Terms.

5. Intellectual Property

The Services and all content contained therein, including but not limited to text, graphics, logos, images, software, and audio recordings, are protected by copyright, trademark, and other intellectual property laws. You may not modify, reproduce, distribute, display, publish, create derivative works from, transfer, sell, or commercially exploit any of the content without the express written permission of RFLD.

6. Termination

RFLD may terminate your access to all or part of the Services at any time, with or without cause, with or without notice.

7. Disclaimer of Warranties

The Services are provided “as is” and without warranties of any kind, express or implied. RFLD disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

RFLD will not be liable for any damages of any kind arising from the use of the Services, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

9. Indemnification

You agree to indemnify and hold harmless RFLD, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Benin, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the International Centre for Dispute Resolution (“ICDR”). The arbitration shall be conducted in English and shall be held in Cotonou, Benin. The decision of the arbitrator shall be final and binding on the parties.
